Term & Conditions
The following terms apply to all services and products that are sold and delivered through LegalUp ApS and legalup.dk (hereinafter referred to as “LegalUp”). The terms and conditions apply to any task that LegalUp ApS undertakes or delivers.
Services
LegalUp is an intermediary and supplier of legal services and products. LegalUp ApS facilitates legal advice and problem solving provided by our associated lawyers, business lawyers and the like.
You acknowledge that LegalUp is not a law firm or in any way associated with a law firm, and that all services provided by LegalUp are offered by lawyers and business lawyers who are not lawyers.
As a customer and user of LegalUp, you have the opportunity to purchase legal advice and other legal services in the following ways:
As a stand-alone task.
As a subscription agreement.
Individual advisory tasks are governed by the terms of these Term & Conditions. Subscription agreements are also regulated by the terms of these Term & Conditions, but are additionally regulated in the section “Subscription terms” and on the subscription page.
Price and payment
At LegalUp, services and products are for a fixed fee. We believe this creates the greatest possible transparency. You pay the price stated on the website excl. VAT and any fees to the Danish Business Authority and the like.
When you buy a service, the invoicing takes place automatically through card registration directly on our website. Here, the amount is reserved until the work has been carried out on our part.
The stated price assumes that all relevant information for the preparation of the task appears at the start of the task. If you as a customer wish to make a change or similar during or afterwards due to insufficient knowledge of your own concept or something else, an additional price may be imposed on the task. You will be notified of this in advance at all times.
In special cases, LegalUp can give a discount if there are special agreements with business partners. There will also be a discount for subscription customers. The discount will appear in the advice offer and invoice.
Confidentiality
All information received from you or about you is treated confidentially, and all employees are subject to confidentiality in accordance with the Act on legal advice, the rules on good practice for legal advice and the general rules of Danish law on personal data processing. Responsibility
LegalUp is responsible to you according to the general rules of Danish law and the Act on legal advice, including the rules on good practice for legal advice. However, LegalUp cannot be held responsible for indirect losses or consequential damages, including loss of data, lost profits, profits, operating losses, etc. LegalUp’s liability is in any case limited to an amount corresponding to the sums listed under “Insured sums”.
LegalUp is not responsible for breakdowns or temporary interruptions on the website, breakdowns in the power supply or internet connection, vandalism of the system (both physical as well as computer viruses and hacking), misuse of personal data or other conditions and circumstances beyond LegalUp’s control. It cannot be guaranteed that you can use downloaded files on any PC, and use will always require that you have software that can open/read relevant files.
Insurance
LegalUp’s legal advisors are liability insured, which basically means that any liability for damages that may arise as a result of direct errors or deficiencies in the advisor’s advice can be covered by HDI Danmark, Indiakaj 6, 1. DK-2100 Copenhagen, Denmark, CVR 37276251 .
Insurance sums
The maximum sum insured for property loss is DKK 1 million. DKK in total per accepted consultancy offer.
The maximum sum insured for personal injury and property damage, respectively, is DKK 10 million. DKK in total per accepted consultancy offer.
However, as a customer, you must be aware that the insurance company is not liable in cases where the claim is due
Fines, including punitive and exemplary damages, taxes and stamp duty, which are imposed on you and which are not a direct result of LegalUp’s advice.
Disruptions or temporary service interruptions.
Circumstances arising from force majeure.
Right of withdrawal and complaint
When you accept an offer from one of LegalUp, you also consent to the commencement of the delivery of your service.
You can still cancel your order, but you will still be charged for the advice or task already delivered. If you want to cancel your order for advice or assignment, you must inform LegalUp immediately.

The following subscription terms apply to you as a subscriber when you sign a subscription agreement with LegalUp. As a subscriber, you have access to the subscription service and benefits under the subscription terms applicable at any time, which follow from these terms and conditions and the subscription page. Subscription price, benefits, content, etc. will appear at all times from the website at www.legalup.dk
The subscriber’s access to the subscription service
In order to subscribe to LegalUp, the following information is required:
Provide a valid email address, full name, CVR number and other necessary information.
When you have provided payment information etc. you are registered as a subscriber, and you receive an email with relevant information for your chosen subscription.
To be able to access the platform, you must meet the following conditions:
You must be at least 18 years old;
You shall warrant that the information provided by you in connection with the registration of your Authorized Account is true and correct and you shall notify LegalUp if this information changes at any time;
You must accept that LegalUp exclusively advises on Danish legal matters. LegalUp is thus in no way responsible for any costs, violations of legislation or other liability, including liability for damages, that may result from you using or attempting to use our services outside of Denmark;
You must ensure that you have access to a suitable internet connection;
You may not use or allow others to use the Subscription Service, including your user access to the Platform, for illegal or improper purposes;
You must register and update your information if it changes during the contract period.
The subscriber’s use of the subscription service
As a subscriber, you get a personal, non-exclusive and limited access to use the subscription service. This access only gives the subscriber access to the subscription service as described in these subscription terms.
The subscriber may not reproduce, duplicate, copy, sell or resell access to the subscription service or use of the subscription service without LegalUp’s written permission. The subscriber may also not disclose account information to third parties that are not directly associated with the subscriber.
The subscriber may not manipulate or in any other way change the subscription service. Subscriber may not create websites, applications or services that appear to be affiliated with LegalUp.
The subscriber may not add content to the subscription service that violates intellectual property rights, including infringements of copyright. Subscriber further agrees not to add any content or use the Service in any manner that is either illegal or in violation of the terms of this Agreement.
LegalUp reserves the right to make updates, interruptions, additions or restructuring, temporary or permanent, of any function associated with the platform and the subscription service with or without notice, with the exception of changes that significantly change or reduce the functionality of the platform, in which case LegalUp shall give the subscriber a notice of 14 days. However, LegalUp reserves the right to make significant changes or reduction of functionality, with or without notice, if there is a current or anticipated breach of security, in which case LegalUp will endeavor to notify all affected subscribers of this, without unnecessary stay. Any use of the Subscription Service after any of the above scenarios constitutes the Subscriber’s acceptance of the Subscription Service in its subsequent version.
Subscription service content
LegalUp offers the following services as part of the subscription service:
User access to the platform, if it follows from the selected subscription.
Access to the number of standardized legal documents resulting from the selected subscription.
Discounts on tasks as long as it follows from the chosen subscription.
Access to an optional task/service, which appears on www.legalup.dk. Please note that the optional service(s) cannot be used in advance, but can be saved if it/they are not used in the current month. Please also note that if the subscription is terminated and the Customer has saved/unused services due to aforementioned, these cannot be made the subject of repayment or payment in any other way.
The subscriber has access and right of use to LegalUp’s legal documents. LegalUp guarantees the quality of the content of the legal documents. However, LegalUp cannot be held responsible for the use of the legal documents, including incorrect completion, correction or use of the legal documents. LegalUp is thus not responsible for either direct, indirect or derivative losses that the subscriber may suffer as a result of incorrect use of Legalup’s legal documents. The subscriber accepts that LegalUp’s provision of the legal documents cannot be equated with legal advice. The subscriber accepts that LegalUp’s legal documents are not covered or protected by LegalUp’s combined professional and adviser liability insurance. Insurance of legal documents can be done by the subscriber creating a single advisory task, with the aim of having an adviser review and quality-assure the document as necessary. In that case, the individual advisory task and the legal documents covered by the advice will be covered by LegalUp’s adviser liability insurance.
No guidance can be given regarding matters relating to private law, criminal law or tax law and matters relating to the transfer of real estate.
The subscriber’s purchase of individual consultancy tasks
As a subscriber, you have the option of purchasing individual consulting tasks at a discount. The discount depends on your subscription type. LegalUp reserves the right to change the discounts, always with a minimum of 30 days notice. The subscriber does not agree to be able to use discount coupons or other price-regulating offers that are not covered by the subscription service when purchasing individual consulting tasks.
Email and password
When you register and create an authorized account on the platform, you will be asked to provide an email and password to log in and use the subscription service. In addition, you will be asked to provide a telephone number.
The combination of email and password is confidential information and you must not disclose it to any third party. We reserve the right at any time, but with reasonable notice, to require you to change your password. You agree that such change may cause a temporary interruption of your access to the Subscription Service.
If you suspect that your email and/or password is being used by someone else, you must immediately notify LegalUp and change your password. If LegalUp has reason to believe that the email and/or password has been disclosed or otherwise misused, LegalUp has the right to immediately disable the subscription service and/or make the subscription service unavailable to you or otherwise prevent continued unauthorized or illegal behavior.
Confidentiality and security
LegalUp provides secure access to the platform. LegalUp will provide functionalities that:
Facilitates password management of Subscriber’s users.
Can send and store passwords in a secure and encrypted format.
Protect usernames, passwords and other personal data in a manner that follows and complies with applicable regulations.
LegalUp, including all third parties and hosting partners, will always:
Use secure practices to store, manage and transfer data and content.
Implement policies and procedures to prevent unauthorized use of usernames and passwords, and will immediately notify Subscriber if it suspects that usernames and passwords have been lost, stolen, compromised or misused.
The Subscriber is responsible for storing the password, username and other credentials that provide access to the Service.
Subscriber agrees to notify LegalUp in the event of unauthorized access to the Service or in the event of suspicion that an email, password or other credentials have been lost, stolen, misused or compromised.
Payment, refunds, bindings, trial period and subscription and price changes
To access the paid features of the Subscription Service available from an Authorized Account, the Subscriber must provide LegalUp with a valid debit card to pay the Subscription Fee as described by LegalUp on the Website. All prices are exclusive of taxes, duties, VAT or other charges which the subscriber is obliged to pay.
The service is paid per month:
Monthly subscriptions are paid in advance. Payment is collected by credit card. The subscriber will then be charged monthly for each subsequent month. LegalUp continues to deduct payment until the subscriber cancels the subscription. Monthly subscriptions are non-binding, however the subscriber pays for the month upon termination. You are bound by these subscription terms for the entire subscription period.
All subscription prices are stated excl. VAT, unless otherwise stated in the price description
All payments are final and non-refundable. Refunds will not be given for partially used, unused or remaining subscription periods.
All prices are subject to change with 30 days’ notice. LegalUp notifies the subscriber of price changes either via e-mail, as a message in the platform or in another way that is considered appropriate by LegalUp. However, we may change the prices with shorter notice, or below, if our costs of making the subscription service available increase as a result of changes in taxes, fees, exchange rate fluctuations, changes in prices to third parties, decisions by authorities or changes in law or other regulation, and the price increase of the subscription corresponds to this increase.
Cancellation and termination
The subscriber can cancel a subscription at any time through the subscriber’s profile on the platform under “Subscription”, however taking into account the terms described in the section “Payment, refunds, bindings and subscription and price changes”. Alternatively, the subscriber must cancel a subscription by contacting LegalUp in writing. For security reasons, the subscription service cannot be canceled in any other way.
LegalUp reserves the right to suspend and terminate the provision of the subscription service to a subscriber without notice if the subscriber’s actions and use of the platform constitute a material breach of this agreement and/or constitute a security risk.
If you have a monthly subscription, you are obliged to immediately pay for the remainder of the subscription period, even if LegalUp terminates your subscription in accordance with these subscription terms. The subscriber acknowledges that LegalUp has the right to collect debts in other ways.
Choice of law and venue
Any dispute arising from your purchase through LegalUp as well as on the platform or resulting disputes, including the scope or validity of these terms and conditions, is subject to Danish law and must be brought before the district court where LegalUp ApS has its registered office.
Information on appeal possibilities
A complaint about a product or service purchased from LegalUp can be submitted to the Danish Competition and Consumer Authority’s Center for Complaint Resolution, Carl Jacobsens Vej 35, 2500 Valby. You can complain to the Center for Complaint Resolution via www.forbrug.dk.
The EU Commission’s online complaints portal can also be used when submitting a complaint. This is particularly relevant if you are a consumer residing in another EU country. Complaints can be submitted here: http://ec.europa.eu/odr. When submitting a complaint, you must provide our email address kontakt@staging.flyingfeet.tech.
Invalidity
If any provision of this Agreement should be declared invalid or unenforceable, such provision will not in any way affect, invalidate or prevent the enforcement of the remaining provisions of the Agreement, and the application of this provision shall be enforced to the extent permitted by law the.
Other provisions
LegalUp reserves the right for printing and price errors.
